VILLORBA, Treviso, Italy – On December 17, 2015, the Higher Regional Court of Düsseldorf pronounced the final judgment on the proceeding pending against Segafredo Zanetti Deutschland GmbH as regards its alleged participation in an anticompetitive agreement, as already described in the Prospectus for the initial public offering and for the listing of Massimo Zanetti Beverage Group S.p.A’s ordinary shares on the Electronic Share Market – STAR Segment, organized and managed by Borsa Italiana S.p.A., published in Consob on May 15, 2015.
The Higher Regional Court of Düsseldorf has partially followed the arguments raised by the German subsidiary, which in the end, thus, was only found liable for having participated in an information exchange leading to a concerted market behavior, thereby only playing a minor and passive role.
In relation to the above, the German subsidiary was fined an overall amount of Euro 3,700,000, to be paid in three instalments, with the first instalment to be paid one week after the filing of the written judgment, the 2nd instalment by 31.12.2016, and the 3rd instalment by 31.12.2017.
The filing of the written judgment is expected by January 2016.
The judgment may be appealed until December 23, 2015, by Segafredo Zanetti Deutschland
GmbH or by the public prosecutor.
